NCOUG  Bylaws

 

NCOUG Officers

The officers of the NCOUG shall consist of a Chairperson, an Executive Director; and a Treasurer. Any two or more offices may be held by the same person except the offices of Chairperson and Secretary. The officers shall be constitute the members of the NCOUG Board of Directors and shall be elected by the Board of Directors at the first Board meeting following the annual meeting of the general membership.
 

Chairperson - The Chairperson  shall be the principal executive officer of the NCOUG and, subject to the control of the Board of Directors, shall direct, supervise, coordinate and have general control over the affairs of the NCOUG. The Chairperson is authorized to execute all instruments in the name of the NCOUG. The Chairperson shall preside at all meetings of the Board of Directors and of the members and shall perform such other duties and have such other authority as may be delegated by the members and the Board of Directors.
 
Executive Director - The Executive Director shall keep the minutes and records of the NCOUG and be custodian of the non-financial records and the seal of the NCOUG. He or she will conduct the official correspondence of the Corporation, prepare any documents required by the Corporation, and will serve all notices of meetings to the members of the Corporation.
 
Treasurer - The Treasurer shall collect all monies and will have the care and custody of all monies and financial records belonging to the NCOUG. He or she will cause such monies to be deposited at a depository selected by the Board and will disburse the same at the direction of the Board. All checks shall require the signatures of two members of the NCOUG Board of Directors. The Treasurer shall perform such other duties and have such other authority as may be delegated by the NCOUG members and the NCOUG Board of Directors.

No Officer shall receive compensation for any service that they render to the NCOUG corporation. However, any Officer can be reimbursed for his approved expenses incurred in the performance of authorized NCOUG duties.
